Terms of Service

These terms govern your use of KaroPay — the UPI payment gateway that lets you collect payments directly into your own merchant account, detect them automatically and get notified through webhooks.

The short version

  • Your money stays yours. Customers pay straight into your own UPI / merchant account. KaroPay never receives, holds or settles your funds.
  • We are a technology service, not a bank, payment aggregator or payment system operator.
  • You are responsible for your merchant account, your customers, refunds to them and lawful use.
  • Always confirm an order is PAID (webhook or status API) before delivering goods or services.

1 About KaroPay

KaroPay (“KaroPay”, “we”, “us”) provides software that helps businesses (“merchant”, “you”) accept UPI payments. For each order you create, KaroPay generates a dynamic UPI QR / payment link that pays your own UPI ID, watches for the payment and updates the order status.

  • Payments move directly from your customer’s UPI app to your bank or merchant account over the UPI network. KaroPay is not part of that money flow.
  • Settlement timelines, transaction limits, charges (MDR) and payment disputes are governed by your bank / UPI provider, not by KaroPay.
  • KaroPay is not affiliated with NPCI, Paytm, PhonePe, Google Pay, BharatPe, QuintusTech or any bank. Their names are used only to describe compatibility.

2 Your account

  • You must be at least 18 years old and able to enter into a binding contract, and you must use KaroPay for a genuine business or professional purpose.
  • Information you give us (name, mobile, email, business name, UPI ID) must be accurate and kept up to date.
  • You are responsible for everything done through your login, API key and API secret. Keep them confidential and tell us immediately at support@karopay.in if you suspect misuse.

3 Connecting your merchant account

To detect payments, you connect one of the following. Only one merchant connection is active at a time.

Merchant dashboard login

Paytm, PhonePe, BharatPe, Google Pay or QuintusTech business accounts. You authorise KaroPay to sign in to that dashboard on your behalf only to read your UPI ID, QR and incoming transactions.

UPI ID + Email Alerts

You enter your UPI ID and connect the Gmail inbox that receives your Paytm or PhonePe payment alerts, via Google sign-in or a Gmail App Password. Access is read-only and limited to those alert mails.

  • You confirm that you own, or are authorised to use, every account and inbox you connect.
  • A dashboard session can be ended by the provider (logout, OTP, policy change). When that happens you may need to log in again before payments are detected. Email-alert connections only need reconnecting if you revoke KaroPay’s access.
  • You can disconnect at any time from UPI Gateway → Connect Merchant.

4 Payment detection & order status

Every order moves through the statuses PENDING, GENERATED, SCANNING, PAID, FAILED, EXPIRED or CLOSED. An order is marked PAID when KaroPay matches the payment in your connected merchant account or payment-alert inbox.

  • Detection depends on third-party systems (provider dashboards, email delivery, UPI network) and is provided on a best-effort basis. A payment can occasionally be detected late, or an order can time out even though the customer paid.
  • With Email Alerts, PhonePe orders may carry a small unique paise amount (up to 15 paise) so that the alert can be matched; Paytm orders are matched by your client_txn_id.
  • You can recheck, retry or manually mark an order from the Reports page. You must only mark an order PAID after verifying the money in your own account.
For high-value orders, confirm the credit in your bank or UPI app as well. Your bank statement is the final record of what you received.

5 API, webhooks & hosted checkout

  • API calls must be authenticated with your x-api-key and x-api-secret, and made only from systems you control.
  • Webhooks are sent to the URL you configure. Your endpoint must reply with {"status": true}; otherwise the delivery is retried once and then shown as failed, and you can resend it from the dashboard.
  • Do not rely on the customer’s redirect alone to confirm a payment — use the webhook or the status API.
  • Do not overload, scrape, reverse-engineer or attempt to bypass limits of the platform.

6 Plans, quota & wallet

  • Using the gateway requires an active plan. Each plan has a price, a validity period and a QR / order request quota; one request is counted for each order created.
  • Plans are paid from your KaroPay wallet. Unused quota does not carry forward after the plan period ends.
  • Wallet top-ups are made by UPI to KaroPay and are credited once the payment is confirmed.
  • We may change plan prices or features. Changes never affect a plan you have already activated for its current period.
  • Refunds and credits are covered by our Refund Policy.

7 Your duties to your customers

  • You are the seller. You are responsible for delivering what your customers pay for, for your prices, invoices and taxes (including GST), and for handling complaints.
  • Because payments reach your account directly, refunds to your customers must be made by you from your own bank or UPI app.
  • You must have your customers’ consent to share their details (name, mobile, email) with KaroPay when creating orders.

8 Prohibited use

You must not use KaroPay to collect payments for, or in connection with:

  • anything illegal in India, including gambling, betting, lotteries or unlicensed money games;
  • fraud, phishing, fake offers, money laundering, pyramid or chit schemes, or collecting money on behalf of others without authorisation;
  • narcotics, weapons, counterfeit goods, adult content or any item banned by law;
  • activities that break the rules of NPCI, RBI, your bank or your UPI / merchant provider.

We may block orders, suspend accounts and report activity to the authorities where we reasonably suspect prohibited use.

9 Suspension & termination

  • You can stop using KaroPay at any time by disconnecting your merchant account and contacting support to close your account.
  • We may suspend or close an account that breaches these terms, poses a security or legal risk, or is required to be suspended by law. Where possible we will tell you why.
  • Payments already in your own merchant account are never affected by a suspension, because KaroPay does not hold them.

10 Liability

  • KaroPay is provided “as is”. We work to keep it available and accurate, but we do not guarantee uninterrupted service or that every payment will be detected instantly.
  • We are not liable for losses caused by provider or bank outages, UPI network failures, changes made by third-party platforms, delayed emails, incorrect details you entered (such as a wrong UPI ID) or orders fulfilled without confirming payment.
  • To the extent permitted by law, our total liability for any claim is limited to the fees you paid to KaroPay in the three months before the claim arose.

11 Changes & governing law

We may update these terms from time to time. The “Last updated” date above shows the latest version, and important changes will be notified by email or on your dashboard. Continuing to use KaroPay after a change means you accept the updated terms. These terms are governed by the laws of India.
